Terms and Conditions

These Terms and Conditions govern your access to and use of the ASAP Printing website, online ordering platform, products, and services.

In these Terms and Conditions, “ASAP Printing,” “we,” “us,” and “our” refer to ASAP Printing. “Customer,” “you,” and “your” refer to the person or organization accessing the website, requesting a quote, approving a proof, placing an order, or purchasing products or services from ASAP Printing.

By accessing our website, creating an account, requesting a quote, approving a proof, placing an order, or otherwise purchasing products or services from us, you agree to these Terms and Conditions.

1. Acceptance of Terms

These Terms and Conditions apply to orders submitted through our website, by email, by telephone, in person, through an account representative, or by another approved method.

Additional terms may appear on a quote, estimate, proof, invoice, credit application, purchase order acknowledgment, product page, or other communication from ASAP Printing. Those additional terms are incorporated into these Terms and Conditions.

If there is a conflict between these Terms and Conditions and a written quote or agreement signed or expressly accepted by ASAP Printing, the specifically accepted written terms will control for that order.

You represent that you are at least 18 years old and have the legal authority to place the order and bind yourself or the organization on whose behalf you are acting.

2. Changes to These Terms

ASAP Printing may update these Terms and Conditions periodically.

Changes become effective when the revised terms are posted on our website unless a later effective date is stated. The terms in effect when an order is accepted will generally apply to that order.

Your continued use of the website after revised terms are posted constitutes acceptance of those revised terms for future activity.

3. Electronic Communications and Approvals

You consent to receive quotes, proofs, invoices, receipts, notices, disclosures, and other communications electronically.

Electronic actions may constitute approval and acceptance, including:

  • Placing an online order

  • Selecting an approval button

  • Approving a proof through the website

  • Replying to an email with approval

  • Providing written approval through another electronic communication

  • Submitting payment

  • Instructing us to begin production

You are responsible for maintaining a current email address and reviewing communications sent by ASAP Printing.

An electronic approval has the same effect as a handwritten approval to the extent permitted by law.

4. Quotes and Estimates

Quotes and estimates are based on the information available when they are prepared, including:

  • Product specifications

  • Quantity

  • Dimensions

  • Paper or material

  • Ink or color requirements

  • Finishing

  • Artwork condition

  • Mailing requirements

  • Delivery method

  • Requested turnaround

  • Other production instructions

Unless otherwise stated, a quote is valid for 30 days.

A quote may be revised if:

  • Specifications change

  • Artwork requires additional work

  • Customer-supplied information was incomplete or inaccurate

  • Material, postage, freight, or vendor costs change

  • Taxes or governmental fees change

  • The order requires services not included in the original request

  • Production conditions differ materially from those anticipated

Quotes do not include taxes, shipping, postage, delivery, graphic design, file repair, installation, rush charges, or other services unless specifically stated.

5. Order Acceptance

Submission of an order does not require ASAP Printing to accept it.

An order is accepted when we confirm acceptance, begin production, order materials, issue an invoice, or otherwise communicate that the order has been accepted.

We may reject, cancel, or place an order on hold for reasons including:

  • Pricing or specification errors

  • Unavailable materials

  • Equipment limitations

  • Suspected fraud

  • Payment issues

  • Unacceptable content

  • Copyright or trademark concerns

  • Unsafe, illegal, misleading, or offensive materials

  • Production limitations

  • Failure to provide required information or approval

If we cancel an order before production begins, we will generally refund amounts paid for the unproduced portion of the order.

6. Pricing and Errors

We make reasonable efforts to provide accurate pricing and product information. However, typographical, technical, pricing, or configuration errors may occur.

We reserve the right to correct an error before production begins, even after an order has been submitted or payment has been authorized.

If a correction materially increases the price, we will provide the revised amount and allow you to approve the change or cancel the unproduced portion of the order.

Prices may change at any time for future orders.

7. Customer-Supplied Content and Files

You are responsible for all artwork, text, photographs, logos, mailing lists, documents, data, and other materials you provide to ASAP Printing.

By submitting content, you represent and warrant that:

  • You own the content or have permission to use and reproduce it

  • The content does not infringe any copyright, trademark, patent, trade secret, privacy right, publicity right, or other legal right

  • The content is not unlawful, fraudulent, defamatory, threatening, obscene, or otherwise prohibited

  • You have authorization to provide any personal information contained in the files

  • Producing the order will not violate any law or third-party agreement

You grant ASAP Printing and its production partners a limited right to access, reproduce, modify, transmit, and otherwise use the supplied content as reasonably necessary to quote, proof, produce, finish, mail, ship, deliver, or otherwise complete your order.

We may refuse to produce any material that we reasonably believe violates these Terms and Conditions or applicable law.

8. Copyrights, Trademarks, and Intellectual Property

ASAP Printing does not independently verify ownership of customer-supplied content.

You agree to defend, indemnify, and hold harmless ASAP Printing and its owners, employees, representatives, vendors, and affiliated companies from claims, damages, losses, liabilities, costs, and reasonable legal fees arising from allegations that customer-supplied content:

  • Infringes intellectual-property rights

  • Violates privacy or publicity rights

  • Is defamatory or unlawful

  • Was submitted or reproduced without proper authorization

ASAP Printing retains ownership of its website, software, templates, tools, workflows, pricing methods, production techniques, original design concepts, and other intellectual property unless otherwise agreed in writing.

Payment for design services does not automatically transfer ownership of working files, fonts, licensed images, software, templates, or other underlying materials. Any transfer of ownership must be expressly agreed to in writing.

9. Artwork Preparation and File Requirements

Customers are responsible for submitting files that meet the specifications required for production.

Unless otherwise agreed, files should include appropriate:

  • Dimensions

  • Resolution

  • Bleeds

  • Margins

  • Color settings

  • Fonts

  • Image links

  • Finishing allowances

  • Mailing-panel placement

  • Fold, cut, perforation, and score positions

ASAP Printing may adjust files when reasonably necessary for production, but we are not obligated to identify or correct every problem.

Additional charges may apply for:

  • Graphic design

  • Typesetting

  • File conversion

  • Image correction

  • Font replacement

  • Bleed creation

  • Layout repair

  • Rebuilding files

  • Preparing variable data

  • Correcting customer-supplied mailing lists

We will notify you when practical before performing substantial billable file work.

10. Proofs and Customer Approval

When a proof is provided, the customer is responsible for carefully reviewing it before approval.

The customer must verify all elements, including:

  • Spelling

  • Grammar

  • Names

  • Dates

  • Telephone numbers

  • Email addresses

  • Website addresses

  • Prices

  • Quantities

  • Dimensions

  • Orientation

  • Page order

  • Pagination

  • Folds

  • Cut lines

  • Mailing information

  • Images

  • Logos

  • Colors

  • Overall layout

Approval authorizes ASAP Printing to produce the order according to the approved proof.

ASAP Printing is not responsible for errors that were present in an approved proof, including errors introduced by the customer or overlooked during review.

Changes requested after proof approval may require additional charges and a revised production schedule.

If a customer waives a proof or directs us to proceed without one, the customer accepts responsibility for errors that reasonably could have been identified through proof review.

11. Monitor and Proof Color

Colors displayed on a monitor or electronic proof may differ from printed colors because screens and printing equipment reproduce color differently.

Electronic proofs are primarily intended to show content, positioning, and general appearance. They are not guaranteed color-accurate proofs.

Unless a physical contract proof, press proof, or specific color-matching service is requested and purchased, ASAP Printing does not guarantee an exact match to:

  • Screen colors

  • Desktop printer output

  • Prior printing

  • Customer-created samples

  • Another printer’s output

  • Uncoated, coated, plastic, fabric, or other differing materials

Reasonable color variation within customary commercial-printing standards is acceptable and is not considered a defect.

Spot-color, brand-color, and exact color-matching requirements must be communicated before the order is placed and may involve additional charges.

12. Paper, Materials, and Product Variations

Paper, substrates, envelopes, vinyl, boards, specialty materials, and finishing supplies may vary between manufacturing lots.

Reasonable variations may occur in:

  • Color

  • Shade

  • Texture

  • Thickness

  • Weight

  • Grain

  • Finish

  • Rigidity

  • Coating

  • Size

  • Material availability

A product may not be identical to a previous order if materials, manufacturers, equipment, inks, or production methods have changed.

If an exact material match is required, the customer must notify ASAP Printing before ordering so availability and requirements can be evaluated.

13. Quantity Variations

Unless otherwise agreed in writing, custom printing is subject to reasonable manufacturing overruns or underruns.

A quantity variation of up to 10% above or below the ordered quantity may be considered acceptable for custom-manufactured products. The customer may be invoiced for the actual quantity delivered.

ASAP Printing will make reasonable efforts to deliver the ordered quantity. A shortage within an accepted industry tolerance is not grounds for rejecting the entire order.

When an exact quantity is essential, the customer must request an exact-quantity requirement before ordering. Additional charges may apply.

Postage quantities, mailing quantities, and quantities delivered may differ because of spoilage, address-processing results, postal requirements, or production setup.

14. Cutting, Folding, Registration, and Finishing Tolerances

Printing and finishing processes involve mechanical tolerances.

Minor variations may occur in:

  • Cutting

  • Folding

  • Scoring

  • Perforating

  • Drilling

  • Binding

  • Die cutting

  • Lamination

  • Foil

  • Registration

  • Image position

  • Border width

  • Booklet alignment

  • Sign dimensions

Small shifts that fall within reasonable commercial-printing tolerances are not considered defects.

Designs containing thin, equal borders or elements positioned close to cut, fold, or finishing lines are especially sensitive to normal production movement.

15. Turnaround Times

Turnaround times are estimates unless ASAP Printing expressly guarantees a completion date in writing.

Production turnaround generally begins after all of the following have occurred:

  • Final specifications are confirmed

  • Production-ready files are received

  • Proofs are approved

  • Required payment or deposit is received

  • Necessary materials are available

  • Mailing information is provided and approved, when applicable

Business days generally exclude weekends, holidays, shipping time, delivery time, and days on which ASAP Printing is closed.

Changes, delayed approvals, file problems, payment delays, material shortages, equipment issues, or vendor delays may extend turnaround.

We will make reasonable efforts to meet requested completion dates, but we are not responsible for losses resulting from a missed estimated deadline unless expressly agreed in a separate written contract.

Rush service may be available for an additional charge but remains subject to production capacity and material availability.

16. Customer Delays and Abandoned Orders

The customer is responsible for promptly providing files, information, approvals, mailing data, and payment.

ASAP Printing is not responsible for delays caused by the customer.

An order that remains inactive because the customer has not provided required information, approval, or payment may be placed on hold.

We may close or cancel an inactive order after providing reasonable notice. Deposits may be applied to design time, materials, labor, storage, and other costs already incurred.

Completed products not picked up within 90 days may be considered abandoned and may be recycled or disposed of, subject to applicable law. The customer remains responsible for amounts due.

Storage charges may apply to completed orders held for an extended period.

17. Changes to an Order

Changes requested after an order is accepted may result in:

  • Revised pricing

  • Additional design or setup charges

  • Material costs

  • Spoilage charges

  • Rush charges

  • A revised completion date

  • Cancellation and replacement of the original order

A change is not effective until accepted by ASAP Printing.

Verbal changes should be confirmed in writing. ASAP Printing is not responsible for a change that was not clearly communicated and acknowledged.

18. Cancellations

Orders are custom manufactured and often enter production shortly after approval.

A cancellation request is not effective until acknowledged by ASAP Printing.

If an order is canceled, the customer is responsible for all costs incurred through the time cancellation is accepted, including:

  • Design and prepress work

  • Proofing

  • Setup

  • Labor

  • Materials

  • Vendor charges

  • Postage

  • Credit-card fees where permitted

  • Completed or partially completed production

  • Restocking or cancellation fees

  • Shipping or delivery costs

No refund will be issued for work already completed or costs that cannot be recovered.

Once printing or production has begun, the order may be noncancelable and nonrefundable.

Custom products that have been completed, mailed, shipped, installed, or delivered cannot be canceled.

19. Returns, Defects, and Claims

Because our products are custom manufactured, they generally cannot be returned for reasons unrelated to a production defect.

Claims involving defects, damage, shortages, or an incorrect order must be submitted in writing within five business days after pickup or delivery.

The claim should include:

  • Order or invoice number

  • Description of the problem

  • Photographs when applicable

  • Number of affected pieces

  • Samples or return of the affected product when requested

The customer must preserve the allegedly defective product and allow ASAP Printing a reasonable opportunity to inspect it.

Using, distributing, mailing, installing, altering, or disposing of a substantial portion of the order may constitute acceptance and may limit the available remedy.

If ASAP Printing determines that it produced the order incorrectly, our responsibility will be limited, at our option, to:

  • Reproducing the affected portion of the order

  • Repairing the affected product

  • Issuing an appropriate account credit

  • Refunding the amount paid for the affected portion

Minor variations and matters within reasonable industry tolerances are not defects.

We are not responsible for problems caused by:

  • Approved artwork

  • Incorrect customer specifications

  • Customer-supplied materials

  • Improper storage

  • Exposure to heat, moisture, sunlight, weather, or chemicals

  • Improper installation

  • Misuse

  • Normal wear

  • Handling after pickup or delivery

  • A shipping carrier

  • A third party not under our control

20. Refunds

Approved refunds will generally be issued using the original payment method when practical.

Refunds do not include completed work, nonrecoverable vendor expenses, postage already purchased, shipping already incurred, or services already performed.

Processing times may depend on the bank, card issuer, or payment processor.

An account credit may be offered instead of a refund when appropriate and agreed upon.

21. Payment Terms

Payment is due according to the terms shown on the quote, order, invoice, online checkout page, or approved credit agreement.

ASAP Printing may require:

  • Full payment before production

  • A deposit

  • A valid payment card

  • Payment upon pickup or delivery

  • Approved credit-account terms

Customers with approved credit accounts must pay invoices by the stated due date.

We may suspend production, withhold delivery, revoke credit terms, or require advance payment if an account is past due or if we reasonably believe payment is at risk.

The customer is responsible for applicable:

  • Sales and use taxes

  • Shipping

  • Delivery

  • Postage

  • Installation

  • Permit fees

  • Governmental charges

  • Collection costs

  • Other charges stated on the order or invoice

Tax-exempt customers must provide valid documentation before invoicing. Tax cannot always be removed retroactively after a transaction is completed.

22. Credit Cards and Payment Authorization

By providing a payment method, you represent that you are authorized to use it and authorize ASAP Printing and its payment processors to charge all amounts associated with the approved order.

If a payment is declined, reversed, disputed, or charged back, we may stop production or withhold the order until payment is resolved.

The customer agrees not to initiate a chargeback for a legitimate charge without first making a reasonable effort to resolve the issue directly with ASAP Printing.

A chargeback does not eliminate the customer’s obligation to pay for products or services properly provided.

Returned checks and rejected electronic payments may be subject to a service charge to the extent permitted by law.

23. Past-Due Accounts and Collection Costs

Past-due balances may accrue a finance charge at the rate disclosed on the applicable invoice or credit agreement, not to exceed the maximum rate permitted by law.

The customer agrees to pay reasonable costs incurred in collecting a past-due account, including collection-agency charges, court costs, and reasonable attorneys’ fees, to the extent permitted by law.

ASAP Printing may apply payments to outstanding invoices, finance charges, collection costs, or other amounts due in an order we reasonably determine.

Future purchases may require advance payment once an account becomes past due.

24. Purchase Orders

A customer purchase order is an authorization to proceed and does not replace or modify these Terms and Conditions.

Any additional or conflicting terms printed on a customer purchase order are rejected unless expressly accepted in writing by an authorized representative of ASAP Printing.

The customer remains responsible for payment even if its internal purchase-order requirements were not completed, provided the order was authorized by the customer or its representative.

25. Shipping

Unless otherwise stated in writing, shipped orders are sent FOB shipping point from ASAP Printing’s facility or the applicable production facility.

ASAP Printing may arrange shipping as a convenience to the customer. Shipping and handling charges are the customer’s responsibility unless otherwise stated.

Estimated delivery dates are not guaranteed.

Risk of loss or damage generally passes to the customer when the order is delivered to the shipping carrier, except where applicable law requires otherwise.

ASAP Printing is not responsible for delays, loss, theft, or damage occurring while an order is in the carrier’s possession. We will reasonably assist the customer with a carrier claim when appropriate.

The customer is responsible for providing an accurate and deliverable shipping address. Additional charges resulting from an incorrect address, refused shipment, redelivery, address correction, or returned package are the customer’s responsibility.

26. Local Delivery

Local delivery may be available based on location, order size, account status, route availability, and other conditions.

Delivery times and routes are estimates and may change.

Someone authorized to receive the order should be available at the delivery location. Delivery to a receptionist, mailroom, loading area, front desk, or other apparent representative at the stated address will generally constitute completed delivery.

Additional charges may apply for:

  • Redelivery

  • Special scheduling

  • Inside delivery

  • Multiple delivery locations

  • Waiting time

  • Difficult access

  • Installation or assembly

27. Customer Pickup

Customers should inspect orders promptly after pickup.

ASAP Printing may release an order to a person who provides the customer name, company name, order information, or other reasonable indication that the person is authorized to receive it.

The customer is responsible for safely transporting and storing the product after pickup.

28. Mailing Services and Postage

Mailing services are subject to United States Postal Service requirements and applicable postal regulations.

Postage estimates may change based on:

  • Final piece dimensions

  • Final piece weight

  • Mailing classification

  • Address quality

  • Postal rates

  • Processing requirements

  • Final quantity

  • Postal acceptance

Postage must generally be paid before the mailing is submitted.

ASAP Printing does not control postal delivery times and does not guarantee the date on which an individual mailpiece will be delivered.

Postal delivery estimates are provided by the applicable postal or delivery service and are not production guarantees.

ASAP Printing is not responsible for:

  • Postal delays

  • Returned mail

  • Undeliverable addresses

  • Outdated customer data

  • Recipient response rates

  • Postal reclassification

  • Additional postage assessed because of final specifications

  • Changes in postal rules or rates

The customer is responsible for the accuracy, legality, and authorization of customer-supplied mailing data.

29. Mailing Lists and Variable Data

Customers providing mailing lists or variable data are responsible for confirming that:

  • The data is accurate

  • The list was lawfully obtained

  • The intended use is permitted

  • Required consents and notices have been obtained

  • The information is formatted according to project requirements

ASAP Printing is not responsible for errors contained in customer-supplied data.

Proofs or samples for variable-data projects may show only representative records. Approval authorizes production using the complete supplied dataset.

Unless otherwise agreed, customer mailing lists will be used only to complete the requested project and related operational requirements.

30. Customer-Supplied Materials

ASAP Printing may agree to print on or otherwise process materials supplied by the customer.

Customer-supplied materials are used at the customer’s risk. ASAP Printing does not guarantee that unfamiliar or customer-supplied materials will run successfully through our equipment.

The customer should provide additional material for setup, testing, spoilage, and normal production waste.

ASAP Printing is not responsible for replacing customer-supplied materials damaged or consumed during reasonable testing, setup, or production unless the loss resulted from gross negligence or willful misconduct.

Additional charges may apply if customer-supplied materials require special handling or cause production delays.

31. Installation

Installation services, when offered, may require a separate quote and site evaluation.

The customer is responsible for:

  • Obtaining landlord or property-owner approval

  • Confirming sign and installation locations

  • Identifying concealed utilities or hazards

  • Obtaining permits unless otherwise stated

  • Ensuring lawful placement

  • Providing safe and reasonable site access

  • Confirming measurements supplied by the customer

ASAP Printing is not responsible for damage caused by undisclosed structural conditions, utilities, hazards, unsuitable surfaces, or inaccurate customer-provided measurements.

Outdoor graphics and signs are subject to weather, sunlight, surface conditions, installation method, and normal wear. Product life estimates are not guarantees.

32. Third-Party Vendors and Production Partners

ASAP Printing may use qualified outside vendors to provide specialty printing, finishing, materials, shipping, installation, or related services.

The use of a production partner does not change the customer’s payment obligation.

Reasonable vendor delays, material substitutions, and manufacturing tolerances may affect an order.

ASAP Printing will remain the customer’s primary contact unless otherwise communicated.

33. Website Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You agree to:

  • Provide accurate account information

  • Keep account information current

  • Use reasonable security measures

  • Notify us promptly of suspected unauthorized access

  • Avoid sharing login credentials with unauthorized users

ASAP Printing may suspend or terminate an account that is compromised, misused, fraudulent, or in violation of these Terms and Conditions.

34. Website Availability

We make reasonable efforts to maintain the website and online ordering platform, but we do not guarantee uninterrupted or error-free operation.

The website may be unavailable because of:

  • Maintenance

  • Updates

  • Internet outages

  • Hosting failures

  • Cybersecurity incidents

  • Third-party service interruptions

  • Events beyond our control

We are not responsible for an order, upload, approval, or message that is not received because of a technical issue.

Customers should contact ASAP Printing directly when an order is urgent or when receipt of an electronic submission has not been confirmed.

35. Website Tools and Templates

Website design tools, templates, layouts, product previews, and automated file-checking functions are provided for convenience.

An automated preview or file check does not guarantee that a file is error-free or will produce the result the customer expects.

The customer remains responsible for reviewing and approving the final design and specifications.

Website tools and templates are owned by or licensed to ASAP Printing or its technology providers. They may not be copied, reverse-engineered, resold, or used outside the permitted website functions.

36. Disclaimer of Warranties

To the maximum extent permitted by law, the website, products, and services are provided on an “as is” and “as available” basis.

ASAP Printing disclaims warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

We do not warrant that:

  • The website will always be available

  • Every file problem will be detected

  • Printed colors will exactly match a screen

  • A product will achieve a particular marketing or business result

  • Mail will arrive on a specific date

  • Outdoor products will last for a specific period under all conditions

  • Reordered products will be identical to a prior production run

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

37. Limitation of Liability

To the maximum extent permitted by law, ASAP Printing will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including:

  • Lost profits

  • Lost revenue

  • Lost business

  • Lost opportunities

  • Loss of goodwill

  • Replacement advertising costs

  • Event-related expenses

  • Mailing-response losses

  • Delay damages

  • Loss of data

This limitation applies whether the claim is based on contract, warranty, negligence, strict liability, tort, or another legal theory, even if the possibility of the damages was known.

ASAP Printing’s total liability arising from a product, service, or order will not exceed the amount actually paid to ASAP Printing for the specific affected portion of the order.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

38. Indemnification

You agree to defend, indemnify, and hold harmless ASAP Printing and its owners, officers, employees, contractors, representatives, vendors, and affiliated companies from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from:

  • Customer-supplied content

  • Your violation of these Terms and Conditions

  • Your violation of law

  • Infringement of a third party’s rights

  • Unauthorized use of personal information

  • Misuse of a product

  • Instructions or specifications supplied by you

  • Your business activities or communications involving the finished product

ASAP Printing will provide reasonable notice of a covered claim and may participate in the defense.

39. Force Majeure

ASAP Printing is not responsible for a delay or failure caused by events outside its reasonable control, including:

  • Severe weather

  • Natural disasters

  • Fire

  • Flood

  • War

  • Terrorism

  • Civil unrest

  • Government action

  • Embargoes

  • Epidemics or public-health emergencies

  • Labor disputes

  • Transportation interruptions

  • Utility outages

  • Internet or telecommunications failures

  • Cyberattacks

  • Equipment breakdown

  • Supply-chain disruption

  • Material shortages

  • Vendor delays

  • Postal or carrier interruptions

Performance deadlines will be extended for a reasonable period based on the circumstances.

40. Governing Law

These Terms and Conditions and all transactions with ASAP Printing are governed by the laws of the State of Mississippi, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

41. Venue and Jurisdiction

Unless applicable law requires otherwise, any legal proceeding arising from these Terms and Conditions or an order with ASAP Printing must be brought in a state or federal court having jurisdiction in Rankin County, Mississippi.

You consent to the personal jurisdiction and venue of those courts.

Before filing a legal action, the parties agree to make a good-faith effort to resolve the dispute directly.

42. Severability

If any provision of these Terms and Conditions is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

43. Waiver

A failure by ASAP Printing to enforce a provision does not waive our right to enforce that provision later.

A waiver is effective only if it is in writing and authorized by ASAP Printing.

44. Assignment

You may not assign or transfer your rights or obligations under these Terms and Conditions without our written consent.

ASAP Printing may assign its rights or obligations as part of a merger, sale, reorganization, transfer of assets, or similar business transaction.

45. Entire Agreement

These Terms and Conditions, together with the applicable quote, proof, invoice, order confirmation, credit agreement, Privacy Policy, and any other expressly accepted written terms, constitute the agreement between the customer and ASAP Printing concerning the applicable transaction.

They replace prior discussions or understandings concerning that transaction, except for a separate written agreement expressly accepted by both parties.
